The terms that govern your use of our website and platform.
Last updated: October 26, 2026
These Terms and Conditions ("Terms") are a binding agreement between Zie Pie LLC, a Washington limited liability company ("ZiePieBooks", "we", "us", "our"), and the accounting, bookkeeping or advisory firm that creates an account or uses our website or platform (the "Firm", "you", "your"). By creating an account, clicking to accept, or using the service in any way, you agree to these Terms, our Privacy Policy and our Cookie Policy. If you do not agree, do not use the service.
PLEASE READ SECTIONS 14 (DISCLAIMER OF WARRANTIES), 15 (LIMITATION OF LIABILITY) AND 17 (DISPUTE RESOLUTION, ARBITRATION AND CLASS ACTION WAIVER) CAREFULLY. THEY LIMIT OUR LIABILITY TO YOU AND AFFECT HOW DISPUTES ARE RESOLVED.
1.1 The service is offered to businesses only. You must be at least 18 years old and able to form a binding contract. If you accept these Terms on behalf of a firm or other entity, you represent that you have authority to bind it, and "you" means that entity.
1.2 You may invite staff ("Authorized Users") and your clients ("Client Users") to use the platform under your account. You are responsible for every Authorized User and Client User: for their compliance with these Terms, for the access and permissions you grant them, and for everything they do in the platform. A breach by any of them is a breach by you.
1.3 The service is offered only to firms located in the United States, Canada and the European Union. We may refuse, suspend or close accounts from anywhere else, and you must not use the service from, or make it available to anyone in, any other region or any country subject to United States sanctions or export restrictions.
2.1 ZiePieBooks is firm management and bookkeeping software. It is newly launched and under active development. We may add, change, limit, suspend or remove any feature, integration, limit or part of the service at any time, with or without notice, and we have no obligation to maintain any particular feature.
2.2 Features labelled beta, preview, early access or similar are provided for evaluation only, may be withdrawn at any time, and carry no warranty, service commitment or liability of any kind.
2.3 No uptime commitment. We do not promise any level of uptime, availability, response time, throughput or performance. The service may be unavailable, slow, degraded or interrupted from time to time, including for reasons outside our control. No service-level agreement, uptime target, status page, marketing statement or past performance creates any commitment, warranty or obligation unless set out in a written addendum signed by us.
2.4 Maintenance. We may take all or part of the service offline for scheduled or unscheduled maintenance, upgrades, migrations, security patching, capacity changes or testing at any time. We will try to give advance notice of planned maintenance where practicable, but we are not obliged to, and emergency or security maintenance may occur without any notice.
2.5 Outages and incidents. An outage, interruption, degradation, data-synchronization delay, bank-feed failure, loss of connectivity to a Third-Party Service, or security incident is not a breach of these Terms and does not entitle you to any refund, credit, extension, set-off, damages or other remedy, regardless of its length, cause or effect on your work, your clients or any deadline. We have no obligation to restore service within any particular time. You are responsible for maintaining contingency arrangements, including your own copies of Your Data (section 9), so that you can meet your own and your clients' obligations during any period in which the service is unavailable.
2.6 Dependencies. The service runs on third-party cloud infrastructure and depends on telecommunications networks, the internet, your own devices, browsers and connectivity, and the Third-Party Services described in section 8. We are not responsible for any unavailability or failure arising from any of them, and any outage caused in whole or part by any of them is an event beyond our reasonable control for the purposes of section 19.4.
2.7 Discontinuance. We may discontinue the service, or any part of it, at any time. If we discontinue the service in its entirety, we will try to give you at least 30 days' notice at your account email so that you can export Your Data under section 9.1. That notice is the only obligation we have on discontinuance.
3.1 You must provide accurate, complete and current registration and billing information and keep it updated. We disclaim any liability arising from your failure to do so.
3.2 You are responsible for safeguarding all credentials used to access your account and for all activity under it, whether or not you authorized that activity. You must enable any multi-factor authentication we make available and must notify us immediately at support@ziepie.com of any unauthorized access or suspected security incident. We are not liable for any loss arising from the use of your credentials by any person.
3.3 We may require you to verify your identity, your firm or your authority at any time and may suspend access until verification is complete.
You will not, and will not permit any Authorized User, Client User or third party to:
We may investigate any suspected violation and may remove content, suspend or terminate access and cooperate with law enforcement, in each case without notice or liability.
5.1 Ownership. You and your clients keep ownership of the financial records, documents and other content you enter into or connect to the platform ("Your Data"). We claim no ownership of Your Data.
5.2 Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, store, transmit, process, display, analyze, back up and otherwise use Your Data as needed to provide, secure, support, maintain and improve the service, to comply with law, and to produce aggregated or de-identified statistics that do not identify you or any client. Where we send transaction details to an artificial-intelligence provider to suggest a category, we send only the fields described in our Privacy Policy.
5.3 Your warranties about Your Data. You represent and warrant that you own or have all rights, licences, consents and authority (including every consent required from your clients and from the individuals whose personal data is included) to provide Your Data to us and to grant the licence above; that Your Data and your use of it comply with all applicable laws, including privacy, data-protection, tax and anti-money-laundering laws; and that Your Data does not infringe or misappropriate any third-party right.
5.4 Accuracy is your responsibility. You are solely responsible for the accuracy, quality, integrity, completeness, legality, reliability and appropriateness of Your Data, including data imported from bank feeds, spreadsheets or other systems. We do not verify Your Data and have no responsibility or liability for any error, omission, duplication, misclassification or inaccuracy in it, or in any report, statement, reconciliation or output produced from it.
5.5 Access you grant. You alone decide which Authorized Users and Client Users can see and change which data. We are not responsible for any disclosure, alteration or loss of Your Data caused by access you or your users grant, or by a person using credentials issued under your account.
5.6 Personal data. Each party will comply with the privacy and data-protection laws that apply to it. As between the parties, you are the controller (or business) and we are the processor (or service provider) of personal data in Your Data, and our Privacy Policy describes how we process it. If you need a data processing agreement for a particular jurisdiction, contact us before uploading data from that jurisdiction.
6.1 ZIEPIEBOOKS IS SOFTWARE. WE ARE NOT AN ACCOUNTING, BOOKKEEPING, TAX, LEGAL, FINANCIAL OR AUDIT FIRM, AND NOTHING IN THE SERVICE, ON OUR WEBSITE OR IN OUR COMMUNICATIONS IS PROFESSIONAL ADVICE. Use of the service does not create any accountant-client, fiduciary or advisory relationship between us and you or your clients.
6.2 You remain solely responsible for your professional judgment and for the accuracy and completeness of every set of books, reconciliation, financial statement, filing, return and report prepared with the service. You must review every output before relying on it or delivering it to a client, lender, authority or any other person.
6.3 You remain solely responsible for compliance with every accounting standard, tax law, filing deadline, record-retention requirement, licensing rule, professional standard and other legal or regulatory obligation that applies to you or your clients, and for any penalty, interest, assessment or sanction that results from a failure to comply. The service may help you track such obligations, but we do not monitor them for you and do not guarantee that any output will satisfy them.
7.1 The service uses rules, statistical models and third-party artificial-intelligence services to suggest transaction categories, match records, flag anomalies, draft text and automate other tasks ("Automated Output"). Automated Output is generated without human review by us, may be incomplete, out of date, misleading or wrong, and may differ for identical inputs.
7.2 AUTOMATED OUTPUT IS PROVIDED "AS IS" FOR YOUR REVIEW ONLY. IT IS NOT ADVICE, IS NOT A SUBSTITUTE FOR YOUR PROFESSIONAL JUDGMENT, AND MUST NOT BE RELIED ON AS A SOLE SOURCE OF FACT. You are solely responsible for reviewing, correcting and approving all Automated Output before it is used, posted, filed or disclosed, and you assume all risk arising from reliance on it. We make no warranty of any kind about Automated Output and exclude all liability for it to the fullest extent permitted by law.
7.3 You will not use Automated Output to make decisions that produce legal or similarly significant effects on an individual without meaningful human review, and you are responsible for any notice or consent that such review requires under applicable law.
8.1 The service depends on and connects to third-party services, including bank and card connectivity providers (for example Plaid), cloud hosting and AI providers (for example Microsoft Azure), email delivery providers and payment processors ("Third-Party Services"). Third-Party Services are provided by unaffiliated companies under their own terms and privacy policies, which you accept by using them, and over which we have no control.
8.2 We do not endorse, warrant or assume any responsibility for any Third-Party Service, for its availability, accuracy, security or continued support, or for any act or omission of its provider. We do not review bank-feed or other third-party data for accuracy or completeness. We are not liable for any loss, delay, error, duplication, disclosure, alteration, corruption or deletion of Your Data caused by a Third-Party Service, by a change in or withdrawal of its interface, or by your or your users' settings in it.
8.3 A Third-Party Service may be changed or discontinued at any time by its provider or by us, and we may suspend any integration where we reasonably consider it necessary, in each case without liability.
9.1 We are not a back-up, archiving or record-retention service. You are solely and exclusively responsible for maintaining your own current copies of Your Data and of every source document, and for meeting every record-retention obligation that applies to you and your clients. You must export or download Your Data at regular intervals and before you cancel, downgrade or stop paying.
9.2 We maintain operational backups for our own disaster-recovery purposes. If Your Data is lost or corrupted while in the service, our sole obligation, and your sole and exclusive remedy, is that we will take commercially reasonable steps to try to restore it from the most recent backup available to us. We do not guarantee that any restoration will succeed or be complete.
9.3 Except for the obligation in section 9.2, we have no obligation or liability for any loss, alteration, destruction, damage, corruption, unavailability or deletion of Your Data, however caused.
10.1 New accounts start with a 30-day free trial, and no payment method is required during the trial. After the trial ends, each client business is billed at the rate shown on our pricing page, per client business, per month, in advance. Subscriptions renew automatically each month until cancelled. Fees are in United States dollars and exclude all taxes, which you are responsible for, other than taxes on our net income.
10.2 You authorize us and our payment processor to charge your payment method for all fees when due, including on renewal. If a charge fails, we may retry it, and we may suspend or restrict access until payment is received. Amounts not paid when due accrue interest at 1.5% per month, or the maximum rate permitted by law if lower, plus reasonable collection costs.
10.3 You may cancel at any time before your next monthly renewal. Access continues until the end of the period already paid for and then ends. All fees are non-refundable. We do not issue refunds or credits for partial months, unused client businesses, downgrades, suspensions for breach, or periods during which you did not use the service. Billing is monthly only.
10.4 We may change our fees or introduce new charges on at least 30 days' notice, posted on our pricing page or sent to your account email. Continued use after a change takes effect is acceptance of it. Your only remedy if you do not accept a change is to cancel before it takes effect.
10.5 Initiating a chargeback or payment dispute rather than contacting us first is a material breach of these Terms and may result in immediate suspension.
11.1 You may stop using the service and cancel your account at any time.
11.2 We may suspend or terminate your access to all or part of the service, or any Authorized User's or Client User's access, at any time and for any reason, including a breach or suspected breach of these Terms, non-payment, a legal or regulatory requirement, a security risk, or discontinuance of the service. Where practicable we will give notice, but we may act immediately and without notice where we reasonably consider it necessary. We will have no liability of any kind to you or any third party for any suspension or termination.
11.3 No access after termination. You must export Your Data before your account ends (section 9.1). On termination or expiry for any reason, your access to the service and to Your Data ends immediately, and we may delete Your Data at any time without notice. We have no obligation to retain, return, provide, export or make available Your Data or any other content after termination, and no liability for its deletion. We may retain copies where required by law or in routine backups, which are deleted on their own schedule.
11.4 On termination all licences to you end, all fees accrued remain payable, and sections 5.2 to 5.6, 6, 7, 8, 9, 10, 11.3, 11.4 and 12 to 20 survive.
12.1 The service, including all software, models, prompts, designs, text, graphics, trademarks, documentation and the structure of the audit and reporting features, is owned by us or our licensors and protected by intellectual-property laws. These Terms grant you only a limited, revocable, non-exclusive, non-transferable right to access and use the service for your firm's internal business purposes during your subscription, subject to these Terms. All rights not expressly granted are reserved.
12.2 If you give us suggestions, ideas or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it for any purpose without obligation to you.
12.3 Aggregated and de-identified data derived from use of the service, and any improvements to our models or systems resulting from that use, belong to us.
13.1 We will use technical and organisational measures that we consider appropriate to protect Your Data, as described on our Security page. Those measures evolve; the Security page describes our current practices, not a warranty, and no method of transmission or storage is completely secure.
13.2 You will keep confidential any non-public information about the service, including pricing, roadmaps, security practices and beta features, that we disclose to you.
14.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, THE WEBSITE, ALL CONTENT, ALL AUTOMATED OUTPUT AND ALL THIRD-PARTY SERVICES ARE PROVIDED "AS IS", "AS AVAILABLE" AND "WITH ALL FAULTS", WITHOUT WARRANTY, REPRESENTATION OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. WE AND OUR LICENSORS, SUPPLIERS AND THIRD-PARTY PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT AND ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE OR TRADE.
14.2 WITHOUT LIMITING THE ABOVE, WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; THAT ANY DATA, REPORT, RECONCILIATION, CATEGORIZATION OR OTHER OUTPUT WILL BE ACCURATE, COMPLETE OR RELIABLE; THAT YOUR DATA WILL NOT BE LOST, CORRUPTED OR DISCLOSED; OR THAT USE OF THE SERVICE WILL SATISFY OR ENSURE COMPLIANCE WITH ANY ACCOUNTING STANDARD, TAX LAW, FILING REQUIREMENT, PROFESSIONAL RULE OR OTHER LEGAL OBLIGATION.
14.3 YOU ASSUME ALL RISK ARISING FROM YOUR USE OF, INTERPRETATION OF AND RELIANCE ON THE SERVICE AND ITS OUTPUT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. IF YOU ARE DISSATISFIED WITH THE SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP USING IT AND CANCEL YOUR ACCOUNT.
14.4 WHERE A WARRANTY CANNOT BE EXCLUDED UNDER APPLICABLE LAW, IT IS LIMITED IN DURATION TO 60 DAYS FROM THE DATE YOU FIRST USED THE RELEVANT FEATURE AND, AT OUR OPTION, TO RE-PERFORMANCE OF THE RELEVANT SERVICE OR REFUND OF THE FEES PAID FOR IT FOR THE AFFECTED PERIOD.
15.1 EXCLUDED LOSSES. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ZIEPIEBOOKS, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUPPLIERS OR THIRD-PARTY PROVIDERS (THE "ZIEPIEBOOKS PARTIES") BE LIABLE TO YOU, ANY AUTHORIZED USER, ANY CLIENT USER, ANY OF YOUR CLIENTS OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, CUSTOMERS, CLIENTS, GOODWILL, REPUTATION, ANTICIPATED SAVINGS OR USE; ANY LOSS, CORRUPTION, DISCLOSURE OR INACCURACY OF DATA; ANY COST OF SUBSTITUTE SERVICES; ANY UNAVAILABILITY, DOWNTIME, OUTAGE, DELAY OR DEGRADATION OF THE SERVICE, WHATEVER ITS DURATION OR CAUSE; ANY BUSINESS INTERRUPTION; ANY TAX, PENALTY, INTEREST, FINE, ASSESSMENT, SURCHARGE OR SANCTION IMPOSED BY ANY AUTHORITY; ANY LEGAL, TAX, ACCOUNTING OR REGULATORY COMPLIANCE FAILURE; ANY MISSED FILING, PAYMENT OR DEADLINE; ANY CLAIM BY YOUR CLIENT OR ANY OTHER PERSON AGAINST YOU; ANY LOSS IN CONNECTION WITH ANY OTHER CONTRACT; OR ANY DAMAGES RELATING TO FAILURES OF TELECOMMUNICATIONS, THE INTERNET, ELECTRONIC COMMUNICATIONS, THIRD-PARTY SERVICES, SECURITY BREACHES, VIRUSES OR MALICIOUS CODE, IN EACH CASE HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, INCLUDING CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE OR OTHERWISE, AND EVEN IF THE ZIEPIEBOOKS PARTIES WERE ADVISED OF, KNEW OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
15.2 CAP. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE ZIEPIEBOOKS PARTIES, TAKEN TOGETHER, FOR ALL CLAIMS OF ANY KIND ARISING OUT OF OR RELATING TO THE SERVICE, THE WEBSITE OR THESE TERMS, UNDER ANY THEORY OF LIABILITY, WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU ACTUALLY PAID TO US FOR THE CLIENT BUSINESS OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT FIRST GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100). THIS CAP IS CUMULATIVE AND NOT PER INCIDENT: THE EXISTENCE OF MORE THAN ONE CLAIM OR EVENT WILL NOT ENLARGE IT. FEES PAID FOR CLIENT BUSINESSES OR SERVICES NOT GIVING RISE TO THE CLAIM, AND ANY PERIOD DURING WHICH YOU USED THE SERVICE FREE OF CHARGE, DO NOT COUNT TOWARD IT.
15.3 SOLE REMEDIES. WHERE THESE TERMS PROVIDE A SOLE OR EXCLUSIVE REMEDY (INCLUDING SECTIONS 9.2, 14.3 AND 14.4), THAT REMEDY IS YOUR ONLY REMEDY FOR THE MATTER CONCERNED, AND SECTIONS 15.1 AND 15.2 APPLY TO IT.
15.4 THIRD PARTIES. THE ZIEPIEBOOKS PARTIES ARE NOT LIABLE, AND YOU AGREE NOT TO SEEK TO HOLD THEM LIABLE, FOR THE CONDUCT OF ANY THIRD PARTY, INCLUDING ANY THIRD-PARTY SERVICE PROVIDER, ANY OTHER USER OF THE SERVICE, AND ANY PERSON WHO GAINS ACCESS THROUGH CREDENTIALS ISSUED UNDER YOUR ACCOUNT. YOU WILL NOT BRING ANY CLAIM AGAINST ANY ZIEPIEBOOKS PARTY OTHER THAN ZIE PIE LLC ITSELF.
15.5 CLAIMS PERIOD. ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OR IT IS PERMANENTLY BARRED.
15.6 BASIS OF THE BARGAIN AND NON-EXCLUDABLE LIABILITY. THE EXCLUSIONS AND LIMITATIONS IN SECTIONS 14 AND 15 ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN US; WE WOULD NOT PROVIDE THE SERVICE AT THESE FEES WITHOUT THEM. THEY APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER THE LAW THAT APPLIES TO YOU, INCLUDING LIABILITY FOR FRAUD, FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR, WHERE THE LAW SO PROVIDES, FOR GROSS NEGLIGENCE OR WILFUL MISCONDUCT; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE MINIMUM EXTENT THE LAW PERMITS. IF ANY PART OF SECTION 14 OR 15 IS HELD UNENFORCEABLE, THE REMAINDER CONTINUES IN FULL FORCE.
16.1 You will defend, indemnify and hold harmless the ZiePieBooks Parties from and against any and all claims, demands, suits, proceedings, losses, liabilities, damages, judgments, settlements, fines, penalties, costs and expenses (including reasonable attorneys' fees and costs of investigation) arising out of or relating to: (a) Your Data, including any claim that it infringes or misappropriates a third-party right or was collected or provided without the necessary rights or consents; (b) your or any Authorized User's or Client User's use of the service, or inability to use it; (c) any breach of these Terms, any law or regulation, or any professional rule by you or any of your users; (d) any service, advice, book, record, statement, filing or return you prepare or deliver for a client or any other person, or any claim by your client or any other person against you or us relating to your services; (e) our making Your Data available to any person you or your users authorized, or any access obtained through credentials issued under your account; (f) your reliance on Automated Output or any other output of the service; (g) any Third-Party Service you connect or use; and (h) any tax, penalty, interest or assessment relating to you or your clients.
16.2 We may, at our option and expense, assume exclusive control of the defense and settlement of any matter subject to indemnification, and you will cooperate fully. You will not settle any matter in a way that imposes any obligation or admission on a ZiePieBooks Party without our prior written consent. This section survives termination.
17.1 Informal resolution first. Before starting any formal proceeding, you must send a written description of the dispute to support@ziepie.com and give us 60 days to resolve it with you. We will do the same for disputes we raise.
17.2 Binding arbitration. Except as stated in section 17.4, any dispute, claim or controversy arising out of or relating to the service, the website or these Terms, including their formation, interpretation, breach, termination, enforceability or scope, and whether based in contract, tort, statute or any other theory, will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The seat of arbitration is King County, Washington, United States. Hearings may be held by video where the arbitrator permits. The arbitrator has exclusive authority to resolve all disputes about arbitrability. The Federal Arbitration Act governs the interpretation and enforcement of this section. Judgment on the award may be entered in any court of competent jurisdiction. Each party bears its own costs and fees except as the arbitrator awards under applicable law or these Terms.
17.3 CLASS ACTION AND JURY WAIVER. YOU AND ZIEPIEBOOKS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PARTY'S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING. TO THE EXTENT ANY CLAIM PROCEEDS IN COURT, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. IF THE CLASS ACTION WAIVER IS FOUND UNENFORCEABLE AS TO A PARTICULAR CLAIM, THAT CLAIM (AND ONLY THAT CLAIM) WILL BE SEVERED AND HEARD IN THE COURTS IDENTIFIED IN SECTION 17.5, AND THE REMAINING CLAIMS WILL BE ARBITRATED.
17.4 Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies; (b) seek temporary, preliminary or permanent injunctive or other equitable relief in court to protect its intellectual property, confidential information or the security or integrity of the service, without first arbitrating; and (c) we may bring a collection action for unpaid fees in court.
17.5 Governing law and courts. These Terms and any dispute are governed by the laws of the State of Washington and applicable United States federal law, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. For any matter not subject to arbitration, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in King County, Washington, and waive any objection to that venue.
17.6 Opt-out. You may opt out of section 17.2 and 17.3 by emailing support@ziepie.com from your account email, with the subject "Arbitration opt-out", within 30 days after you first accept these Terms. If you opt out, section 17.5 governs all disputes, and the jury waiver still applies.
17.7 Mandatory local law. If you are established in the European Union or Canada and the law of your jurisdiction does not permit a provision of this section 17 to apply to you, that provision applies to the maximum extent permitted and the remainder of this section continues to apply.
We may modify these Terms at any time by posting the revised version here and updating the date above. Material changes take effect 14 days after posting, or sooner where required by law or for security reasons; other changes take effect on posting. We may also notify you through the service or by email. Your continued use of the service after a change takes effect is your acceptance of it. If you do not agree to a change, you must stop using the service and cancel before it takes effect; that is your only remedy. Changes do not apply to disputes of which we had written notice before the change took effect.
19.1 Entire agreement. These Terms, together with our Privacy Policy, Cookie Policy, pricing page and any order or written addendum we sign with you, are the entire agreement between us about the service and supersede all prior or contemporaneous understandings. No purchase-order, vendor-portal or other terms you send us apply, even if we accept or process the document.
19.2 Severability and waiver. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the rest of these Terms remains in effect. Our failure to enforce any provision is not a waiver of it.
19.3 Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign them, in whole or part, to an affiliate or in connection with a merger, acquisition, reorganization or sale of assets, without notice.
19.4 Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, labour disputes, utility or internet failures, acts or omissions of Third-Party Services, cyber-attacks, government action, pandemic or war.
19.5 Export and sanctions. You will comply with all applicable export-control and sanctions laws and represent that you are not located in, or owned or controlled by a person in, a sanctioned country or on any restricted-party list.
19.6 Notices. We may give notice to the email address on your account or through the service; notice is effective when sent. Notices to us must be sent to support@ziepie.com or to Zie Pie LLC, 21507 NE 8th St, Sammamish, WA 98074, USA.
19.7 Relationship. The parties are independent contractors. These Terms create no partnership, joint venture, agency, fiduciary or employment relationship, and no third party, including your clients and Client Users, has any right to enforce them.
19.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation". The English version of these Terms controls over any translation.
